Acceptance of Terms

These Terms & Conditions ("Terms") govern your use of services provided by Kairos AI ("we", "us", "our"), including consultation, infrastructure builds, automation workflows, the client dashboard, and any related deliverables.

By engaging our services, paying an invoice, or using our platforms, you agree to these Terms in full. If you do not agree, do not engage our services.

Use of Services

You are granted a limited, non-exclusive, non-transferable right to use the AI infrastructure and tools we build for you, subject to ongoing payment and these Terms.

  • Services are intended for legitimate, lawful business use only.
  • You may not resell, sublicense, or transfer our infrastructure to third parties without written permission.
  • You may not reverse-engineer, copy, or repurpose our proprietary workflows for use outside your engagement.
  • Use of our services to send spam, phishing, harassment, or any illegal communications is grounds for immediate termination.

Client Responsibilities

To deliver effectively, we rely on you for accurate, timely cooperation.

  • Provide accurate intake information, brand assets, and operational details.
  • Maintain valid access credentials for any tools we integrate with on your behalf.
  • Review and approve deliverables in a reasonable time window.
  • Comply with all applicable laws regarding outreach, data, and consumer communications in your jurisdiction.
  • Maintain valid payment information for the duration of your engagement.

Subscription & Payment Terms

Our services are typically delivered under a monthly or annual subscription with an initial setup investment.

  • Setup fees are billed at the start of engagement and are non-refundable once build work begins.
  • Recurring subscription fees are billed in advance on a monthly cycle (or annual if elected) starting at engagement.
  • Payments are processed through Stripe. You authorize us to charge your designated payment method on each billing cycle.
  • Failed payments may result in suspension of services after a reasonable grace period.
  • Price changes will be communicated at least 30 days in advance and apply at your next renewal cycle.

Intellectual Property

Your assets remain yours. All content, brand materials, scripts, and data you provide are and remain your property. We hold them only for the duration needed to deliver and maintain your service.

Our methodology remains ours. Workflows, system architectures, internal frameworks, training methodology, and any proprietary tools developed by Kairos AI remain our intellectual property. We grant you a license to use the configured outputs as part of your engagement.

Custom integrations built specifically for your business are licensed to you for as long as you remain a client in good standing.

AI Automation Limitations

Our infrastructure makes extensive use of AI systems (large language models, automation engines, voice agents, classification systems). You acknowledge the following inherent characteristics:

  • AI outputs are probabilistic and may occasionally contain errors, inaccuracies, or unexpected phrasing.
  • Voice and language quality depends on training data, scripts, and conditions outside our complete control.
  • Third-party services we integrate with (telephony, SMS, scheduling) may experience outages independent of our system.
  • Our infrastructure is designed to augment your operation — not replace human judgment on high-stakes or ambiguous matters.

You agree to review AI-generated communications, monitor edge-case behavior, and report tuning needs through your dashboard.

No Performance Guarantees

While we engineer systems for measurable operational improvement, we make no specific guarantees regarding lead volume, conversion rates, revenue, or other business outcomes.

Results depend on factors outside our infrastructure — market conditions, your offer, pricing, sales execution, industry seasonality, lead quality, and consistent use of the system as designed.

Our work is delivered as services rendered, not as outcome guarantees.

Limitation of Liability

To the maximum extent permitted by law, Kairos AI shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption.

Our total aggregate liability for any claim related to our services shall not exceed the amounts paid by you to Kairos AI in the 90 days immediately preceding the event giving rise to the claim.

Services are provided "as is" without warranty of any kind, express or implied, including warranties of merchantability or fitness for a particular purpose, except as specifically required by applicable law.

Cancellation Policy

You may cancel your subscription at any time by emailing us or submitting a cancellation request through your dashboard.

  • Cancellation takes effect at the end of your current billing period — you retain access until that date.
  • Already-paid fees are non-refundable except where required by law.
  • On cancellation, AI workflows will be deactivated, dashboard access ends, and your active configuration is archived.
  • Your data export is available on request for 30 days following cancellation.
  • Reinstatement within 12 months is offered at a reduced re-onboarding fee.

Governing Law & Disputes

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles.

Any dispute arising from these Terms or our services shall first be addressed through good-faith direct communication between the parties. If unresolved, disputes shall be resolved through binding arbitration in California, with each party bearing its own costs except where law provides otherwise.

You waive the right to participate in any class-action lawsuit or class-wide arbitration related to these Terms.

Changes to These Terms

We may revise these Terms from time to time. Material changes affecting active clients will be communicated by email at least 30 days in advance. Continued use of our services after the effective date constitutes acceptance of the updated Terms.
